甲乙双方在平等、互利、自愿的前提下于_________年_________月_________日订立本协议,本协议为______年______月_______日至_________月_________日期间的销量协议。本协议如有与原“经销商协议”相抵触的,均以本协议为准。

1.甲方是_________公司生产的_________(_________)产品在_________省经_________公司授权的总经销商。

2.乙方希望从甲方购买_________(以下称“产品”)在特定区域经销。

协议

一、甲方的义务:甲方应该采取所有必须和合适的手段以支持乙方为产品开拓市场所作努力的活动。例如:

1.及时向乙方提供产品宣传样本。

2.向乙方提供有关信息。

3.迅速通知和抄送乙方任何从第三方收到的区域内的询价和由第三方在区域内意在同甲方建立联系的任何企图。

4.根据乙方提出的合理要求和甲方安排,甲方可以为乙方的员工提供售前、售中、售后服务培训,以支持乙方区域活动。

5.安排业务熟悉的人员和乙方保持日常的联系,以支持乙方的的活动,就有关商务或技术上的特定问题告知乙方,就有关新产品开发.市场和竞争者的信息通知乙方。

6.甲方有义务为乙方制作和提供能够证明乙方为该区域经销商的证明文件或授权书证。

7.根据乙方的订货量,安排备货和供货。

二、乙方的义务:作为区域经销商,乙方必须采取所有需要和合适的步骤在区域内为产品开发市场,并承担相应的费用。例如:

1.在区域内建立一个为活动服务的经销构架,包括长期的经营场所,雇佣在产品知识和应用方面受训的充足的人员,雇佣技术人员能够根据客户提供的结构图帮助应用设计和协助管道工程,安装设备,提供快速的售后服务。

2.经营性地通过广告、邮递、技术演讲和讨论、展览、论坛和其他可用的合适的方法来促销产品。

3.为感兴趣的人士提供产品信息,如报表、目录、样本、数据、应用情况,区域内外的产品安装参考。

4.完成本协议规定的销售量,向甲方下采购订单,市地级分销商第一次订单不低于_________万元,县市级分销商第一次订单不低于_________万元,并按时提货。

5.经常性与甲方互通区域内的市场状况和趋势、竞争者的活动等信息。

6.计划和安排甲方人员和用户见面,参加交易会、展览会。

三、乙方业务计划和年度预测:

1.市场、市场推广和广告;

2.计划发展的分销网络;

3.年内的库存量;

4.乙方的主要机构设置、人员和主要负责人的联系方式;

5.年内采取售后服务的模式。

四、区域:所谓区域是指甲方承认乙方销售产品的地区范围。协议双方特别同意如下:

1.在本协议期内,甲方有权检查乙方的活动,同时也有义务指导乙方开发区域市场。

2.乙方未遵从协议条款或在协议期内的任何时间预计不能完成年度销售计划,甲方和乙方应该讨论解决的步骤以使乙方在合理的时间内改善这一状况。如果在规定的时间内还仍旧不能改善的',甲方可以决定作如下选择:

(1)根据协议终止条款终止协议

(2)在区域内再行指定其它的经销商

(3)甲方根据乙方因违反协议给甲方造成的_________品牌或直接经济损失程度,给予保证金扣款,最低为30%,最高为100%

五、关于价格:为了尽快建立_________在_________省的销售网络,更好地鼓励和支持经销商的发展,经甲方与_________公司,研究决定对区域经销商实行适时合理的供货价格体系(如遇供货方临时提价,甲方原报价也将随之提高)。具体说明如下:

1.实施人民币预订期货或订购现货“量大有奖”的原则,有利于降低各操作环节的成本,进而让利给乙方。

2.按照量大奖励的原则,在本协议期内,以人民币期货订购批数量较大的,甲方将给予乙方奖励标准为返还_________个百分点。由于产品品种较多.办理进口的周期较长,原则上要求乙方应有适量备货或提前预订,否则甲方不承担因暂时品种缺现货造成的任何责任。以期货方式订货或订购非常备品种的,应提前_________月以上。

4.执行现有价格的基础是无论何种理由均实行款到发货的原则,运输、保险费用由乙方承担。

六、现货验收:乙方须于提货时在甲方仓库进行装车前的外观、数量、品种的验收。如乙方放弃此权利,将视为验收合格。

七、终止:如果一方严格违反协议,另一方有权终止协议,以传真或电子邮件和挂号邮件给对方提前_________天的通知(“终止期”)。终止期从挂号邮件的日期起算。在一方给出终止通知后,在终止期内,协议各方须继续善意执行未决的订单,协议的条款仍然有效。如果任何一方有下列情形之一时当然终止:
